TERMS & CONDITIONS
GENERAL INFORMATION: The Auction will be conducted by BBA (Auctioneer). Auctioneer as used in these Terms and Conditions shall include but not limited to, any and all of its agents, employees, representatives, officers and directors. These terms and conditions describe the auction of businesses, whether operating or non-operating owned by one or more selling entities (Seller). The Seller(s) of the Business has instructed Business Broker Auctions to auction the listed Business on Terms and Conditions set forth below. Prospective Buyers who register in accordance with instructions below will be deemed Registered Buyers and Registered Buyers who wish to become a Registered Bidders will be required to post a deposit and Proof of Funds as set out below. In order to qualify to purchase a Business at Auction, you must become a Registered Bidder. Winning Registered Bidders will be required to execute a Purchase Agreement in a form and with terms and conditions required by the Seller (the Purchase Agreement) which will include, among other things, an extension of the current lease or a new lease from the landlord.
REGISTRATION TO BECOME A BIDDER: Registration to Become a Bidder for a particular Business must be completed seventy-two (72) hours prior to the Auction date for that Business. Furthermore, a Registered Buyer who qualifies to become a Bidder will receive a separate Bidder’s ID number (Paddle number) which must be presented each time an offer and/or a bid at Auction is made. If you are the winning bidder you will need to provide this Paddle Number plus a state or federal approved identification (e.g. driver’s license, passport) to the Auctioneer or BusinessBrokerAuctions representative at the Auction site upon completion of the Auction.
TERMS OF SALE: All Businesses are offered for sale, transfer and conveyance “AS IS, WHERE IS WITH ALL FAULTS AND LIMITATIONS”. There are no representations or warranties relating to the title or any physical, environmental, health and safety conditions relating to any Business offered for sale. Auctioneer and BusinessBrokerAuctions.com (collectively, the Parties) do not make any representations or warranties concerning any Business and specifically disclaim the accuracy of any information provided.
BUYER’S PREMIUM: The terms of the sale provide that the bidder who enters the Winning Bid (the Winning Bidder) must tender the Purchase Price plus a premium equal to ten percent (10%) of the Winning Bid as indicated in the Purchase Agreement. This amount shall be added to the final bid (Winning Bid) and inserted in the Purchase Agreement to determine the total purchase price.
RESERVE AUCTION. This is a Reserve Auction, unless otherwise noted in a specific Business listing and all Businesses have a reserve price (Reserve Price), meaning a Seller of each Business can accept or reject any bid that does not meet or exceed the Seller’s established, unpublished, minimum selling price. The starting bid is not the Reserve Price. If no Registered Bidders meet the Reserve Price, the Seller is under no obligation to sell the Business.
WINNING THE AUCTION: The Winning Bidder must provide their paddle number to the Auctioneer or BBA representative at the Auction after bidding concludes for the Business. The Winning Bidder is required to make a good faith deposit of 10% of the Total Purchase Price to our Trustee no later than 5:00 PM Eastern Time on the second full business day following the Auction. That payment will be held in a separate escrow or trust account. If a 10% good faith deposit is not received by the Trustee by the time specified, the Winning Bidder’s bidder deposit of $5,000 will be forfeited and treated as additional sales proceed. In the event that the Winning Bidder for the Business fails to provide the 10% good faith deposit, BBA may either continue the sale by reopening the bidding or immediately offer the Business to the second highest bidder who may purchase the Business at that bidder’s bid price.
By participating in the Auction and bidding, the Registered Bidder represents to the Auctioneer and Seller that the Registered Bidder has agreed to and accepted these Terms and Conditions.
LIMITATION OF LIABILITY: To the fullest extent permitted by law, in no event shall BBA be liable for any special, indirect, punitive, cover, incidental or consequential damages, however caused, whether in contract or tort or under any other theory of liability, including without limitation, loss of revenue, anticipated profits, business or sales, even if BBA or an authorized representative thereof has been advised of the possibility of such damages. In no event shall the total liability of BBA to you for all damages, losses and causes of action (whether in contract or tort, including, but not limited to, negligence, product liability or otherwise arising from this agreement or your use of the site and other services exceed, in the aggregate, $100.00.
INDEMNIFICATION: Seller and Buyer agrees to indemnify and hold less Business Broker Auctions.com and its respective officers, directors, employees, agents and successors from and against any and all claims, suits, proceedings, costs, expenses (including reasonable attorney’s fees and costs, including costs and fees of experts), losses, liabilities, and damages, actual and consequential, of every kind and nature arising out of or relating to the Business, or the auction or sale thereof, including but not limited to, breach of your representations, warranties and covenants set forth in this agreement, as well as, the Sale/Co-Broke, Buyer Registration and Bidder Registration Agreements.
GOVERNING LAW: For users contracting with Business Broker Auctions, LLC, these site usage terms as well as all stated terms and conditions of the Auction shall be governed by the laws of the State of New York.
ARBITRATION: This Agreement shall be construed under, and governed by, the Laws of the State of New York. The parties agree that any claim, dispute or controversy related to this Agreement or the relationship or duties contemplated under this Agreement including the validity of this Arbitration Clause, shall be resolved by binding arbitration by Arbitration Services, Inc. www.arbitr8ors.com under its Commercial Arbitration Laws.]
